1. This transaction was executed in multiple trades at prices ranging from $8.95 to $9.085, inclusive. The price reported above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

2. The option was granted on 8/29/2014. All shares underlying the option vested in four equal annual installments beginning on the first anniversary of the date of grant, subject to the Reporting Person's continued service with the Issuer through the applicable vesting date.
