Shares of Class B Common Stock will automatically convert into shares of the Issuer's Class A Common Stock at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment, as described under the heading "Description of Securities" in the Issuer's registration statement on form S-1 (File No. 333-249290) and have no expiration date. |
| 2. 572,527 shares of Class B Common Stock were forfeited to the Issuer at no cost in connection with the partial exercise by the underwriter of the over-allotment option, as described in the Issuer's registration statement on Form S-1. |
| 3. The securities are held directly by Lefteris Holdings LLC. The Reporting Person is the managing member of Lefteris Holdings LLC and shares voting and dispositive power over and may be deemed to beneficially own such shares held by Lefteris Holdings LLC.
