The reported Class A ordinary shares are within 415,500 of the Issuer's Private Placement Units, as described under the heading "Description of Securities " in the Issuer's registration statement on Form S-1 (File No. 333- 249099), purchased by the Turmeric Management, LLC (the "Sponsor") for $10.00 per Private Placement Unit.

2. The securities reported herein are held by the Sponsor. The Sponsor is governed by a board of manager consisting solely of the Reporting Person. As such, the Reporting Person has voting and investment discretion with respect to the Class A ordinary shares held of record by the Sponsor and may be deemed to have shared beneficial ownership of the Class A ordinary shares held directly by the Sponsor.
