Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award. The RSUs will vest in full on the earlier of (i) the date of the 2025 Annual Meeting (or the date immediately prior to the 2025 Annual Meeting if the Reporting Person's service as a director ends at such Annual Meeting), or (ii) June 6, 2025, subject in all cases to the Reporting Person's continued service as a member of the Board of Directors through such vesting date.

2. The securities are held by Isalea Investments LP (the "Partnership"). The Reporting Person is the managing member of the Partnership and has voting and investment discretion with respect to the securities held by the Partnership.
