Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On December 30, 2021, MedTech Acquisition Corporation (the “Company”) issued an unsecured promissory note in the principal amount of $544,000 (the “Note”) to the Company’s sponsor, MedTech Acquisition Sponsor LLC (“Sponsor”). The Note does not bear interest and matures upon closing of the Company’s initial business combination. The proceeds of the Note will be used for working capital purposes.
