Item 8.01 Other Events.
As previously disclosed, on February 9, 2021, Forest Road Acquisition Corp., a Delaware corporation (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with respect to a proposed business combination (the “Business Combination”) among the Company, The Beachbody Company Group, LLC, a Delaware limited liability company (“Beachbody”), and Myx Fitness Holdings, LLC, a Delaware limited liability company (“Myx”).
On May 27, 2021, the Company issued a press release announcing that the Securities and Exchange Commission (the “SEC”) has declared effective the registration statement on Form S-4 (the “Registration Statement”) filed by the Company in connection with the Business Combination and that a special meeting (the “Meeting”) of the Company’s stockholders will be held on Thursday, June 24, 2021 at 10:00 a.m., Eastern Time. The purpose of the Meeting is to vote on certain proposals relating to the Business Combination that are disclosed in the definitive proxy statement/prospectus included in the Registration Statement.
