Explanation of Responses:

1. As described in the issuer's registration statement on Form S-1, as amended (File No. 333-251513), under the heading "Description of Securities--Founder Shares," the shares of Class B common stock, par value $0.0001 per share, of the issuer will automatically convert into shares of Class A common stock, par value $0.0001 per share, of the issuer at the time of the issuer's initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to certain adjustment, and have no expiration date. Includes 750,000 shares of Class B common stock that are subject to forfeiture if the underwriters of the issuer's initial public offering do not exercise in full its option to purchase additional units.

2. The reporting owner, Bright Lights Sponsor LLC (the "Sponsor"), in whose name the securities reported herein are held, is managed by its managing member, Bright Lights Holdco LLC. The managing member of Bright Lights Holdco LLC is Michael Mahan. Each of the Reporting Persons may be deemed a beneficial owner of shares held by the Sponsor but each (other than the Sponsor) disclaims beneficial ownership of any such shares except to the extent of its respective pecuniary interest therein.

Remarks:

Exhibit 24.1 - Powers of Attorney. Michael Mahan, the managing member of Bright Lights Holdco LLC, serves on the board of directors of Bright Lights Acquisition Corp. For the purposes of Section 16 of the Securities Exchange Act of 1934, as amended, each of the Reporting Persons (other than Mr. Mahan) may be deemed a director by deputization with respect to the issuer on the basis of Mr. Mahan's service on the issuer's board of directors.
