Explanation of Responses:

1. Consists of a restricted stock unit award made pursuant to the Company's 2017 Omnibus Equity Incentive Plan. The restricted stock units vest in full on the one year anniversary of the grant date, except that such restricted stock units may vest prior to such date if the Reporting Person is terminated involuntarily without cause. The restricted stock units will be cancelled prior to the vesting date if the Reporting Person voluntarily terminates his employment.

2. The options vest in equal monthly installments over a two-year period commencing on the Transaction Date.

3. The options were issued as incentive compensation for services under the Company's Omnibus Equity Incentive Plan.

4. Aggregate number of stock options beneficially owned as of the Transaction Date irrespective of exercise price and expiration date.
