Welcome, talking about the Kin and OCA acquisition. Some of the key talking points, some of the key deal points, some of the things that make this transaction so exciting. We're looking at approximately a $1.03 billion combined company, proforma enterprise value. So a lot of value coming out of this transaction. It also includes a commitment for $80 million private investment in public equity, led by Hudson Structured Capital Management and Senator Investment Group with participation from Gillson Capital, Park West Asset Management, and some other institutional investors. New strategic investors, they've got Joe Plumeri, the former Chairman and CEO of Willis Group Holdings, Steven Ross, Jeff Blau, and Bruce Beal of Related Companies, the most prominent privately owned real estate firm in the United States. And of course, notably as well, Gary Vaynerchuk, the CEO of VaynerMedia, joins existing investor and four time major winner golf pro Rory McIlroy.

So obviously an exciting roster here. We've got a lot of people joining the team and a lot of people that are obviously notable in the space and probably joining on for a reason, as we expect. The transaction is expected to provide Kin with approximately $242 million of cash at closing. Kin's existing stockholders will be rolling 100% of their equity into the combined company and are expected to own approximately 75% of the combined company immediately following the closing of the business combination, assuming no redemptions by Omnichannel's public stockholders. So a few of the key points there, looking at the business vitals and talking through some of that side of it. Prior to the SPAC Kin announced 69.2 million in series C financing, co-led by Hudson Structured Capital Management and Senator Investment Group. This round brought their total funding to 159.3 million.

Talking some stats on Kin, because obviously looking at both sides of this, we want to see the value add relative to Kin and why the acquisition was made. So approximately, according to numbers here, 47,500 homeowners rely on Kin to keep their homes protected. Offices in Chicago, St Petersburg. Kin employs 349 people across the US, including 121 licensed insurance agents. Customers trust Kin with everything from their everyday claims to catastrophes due to our affordable and easy to use DTC approach to InsureTech. We have a net promoter score of 85 in an industry that scores 42 on average. So a lot of value points here for sure. We're talking through some of the business vitals, obviously some really, really good leverage and some really good results that have come out of Kin in the past. Certainly leading to this acquisition with obviously notable names like Gary V and Rory McIlroy being a part of the transaction. Reporting on the Kin and OCA acquisition.

Business Combination Transaction
On July 19, 2021, Kin entered into a business combination agreement with Omnichannel Acquisition Corp. (NYSE: OCA). The business combination is expected to close in the fourth quarter of 2021. Upon closing, the combined public company will be named Kin Insurance Inc., and its common stock is expected to be listed on the NYSE under the new ticker symbol “KI”. Additionally, closing of Kin’s acquisition of an inactive insurance carrier with licenses in more than 40 states is still expected in the fourth quarter of 2021.
