Item 5.07. Submission of Matters to a Vote of Security Holders
On December 8, 2021, CF Acquisition Corp. V, a Delaware corporation (“CF V”), convened its special meeting of shareholders (the “Special Meeting”) being held in connection with the proposed business combination with Nettar Group Inc. (d/b/a Satellogic) (the “Company”) and the other transactions contemplated by the Agreement and Plan of Merger dated July 6, 2021 (as amended, supplemented or otherwise modified from time to time, the “Merger Agreement”), as further described in the definitive proxy statement filed by CF V with the Securities and Exchange Commission (the “SEC”) on November 12, 2021 (the “Proxy Statement”).
Present at the Special Meeting were holders of 24,851,604 shares of CF V common stock, par value $0.0001 per share (the “Common Stock”), in person or by proxy, representing approximately 78.0% of the voting power of the Common Stock as of November 1, 2021, the record date for the Special Meeting (the “Record Date”), and constituting a quorum for the transaction of business. As of the Record Date, there were 31,850,000 shares of Common Stock issued and outstanding.
The sole proposal that was presented at the Special Meeting was the “The Adjournment Proposal”, which is a proposal allowing the CF V board of directors to adjourn the Special Meeting to a later date or dates, if necessary or appropriate, to permit further solicitation of proxies if there are insufficient votes for, or otherwise in connection with, the approval of the Business Combination Proposal (as defined in the Proxy Statement). The CF V shareholders approved the Adjournment Proposal. The voting results were as follows:

The Special Meeting was adjourned to 11:00 a.m. Eastern Time on December 20, 2021.
