Explanation of Responses:

1. Reflects shares issuable on the settlement of restricted stock units ("RSUs") granted to the Reporting Person. Each RSU represents a contingent right to receive one share of the Issuer's common stock. The RSUs will vest quarterly in twelve equal installments over three years commencing on June 23, 2023, subject to the Reporting Person's continuous service through each applicable vesting date.

2. Reflects shares issuable on the settlement of RSUs granted to the Reporting Person. Each RSU represents a contingent right to receive one share of the Issuer's common stock. 25% of the RSUs will vest on each of September 15, 2023, December 15, 2023, March 15, 2024 and the earlier of June 15, 2024 and the date of the next annual meeting of the Issuer's stockholders (or the date immediately prior to the next annual meeting of the Issuer's stockholders if the Reporting Person's service as a director ends at such meeting due to the Reporting Person's failure to be re-elected or not standing for re-election), subject to the Reporting Person's continuous service through each applicable vesting date.
