Explanation of Responses:

1. The Reporting Person was granted Restricted Stock Units ("RSU") which represent a contingent right to receive one share of Common Stock for each RSU. The RSUs vest (subject to the Reporting Person's continued service to the Company or its subsidiaries through the applicable vesting date) as to 33.2% on October 31, 2023 and as to 8.35% upon completion of each three-month period thereafter, such that the RSUs will be fully vested on October 31, 2025, provided that any RSU which would be fractionally vested shall be accumulated and shall vest on the first vesting date upon which a whole RSU has accumulated.
