Explanation of Responses:

1. Includes 41,313 restricted stock units ("RSUs") awarded to the reporting person under the Li-Cycle Holdings Corp. 2021 Incentive Award Plan. Each RSU represents the contingent right to receive one common share of Li-Cycle Holdings Corp subject to time-vesting conditions in accordance with the underlying award and the reporting person's continued service through such vesting date. The reporting person is the Head of Recycling at Glencore plc (collectively with its subsidiaries, "Glencore") and holds the securities for the benefit of Glencore, and may, after vesting, if applicable, transfer the securities directly to Glencore.

2. The filing of this statement shall not be deemed an admission that the reporting person is the beneficial owner of the securities reported herein for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or otherwise. The reporting person expressly disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein.
