Explanation of Responses:

1. The transaction reported reflects automatic sell to cover transactions that do not represent a discretionary trade by the Reporting Person in order to pay the tax liability arising from the vesting and settlement of restricted stock units ("RSUs").

2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1.82 to $1.985.

3. Includes 79,382 RSUs previously awarded to the reporting person under the Li-Cycle Holdings Corp. 2021 Incentive Award Plan. Each RSU represents the contingent right to receive one common share of Li-Cycle Holdings Corp. subject to time-vesting conditions in accordance with the underlying award and reporting person's continued service through such vesting date.

4. On June 3, 2024, Li-Cycle Holdings Corp. effected a share consolidation of its common shares (the "Share Consolidation") at a consolidation ratio of one post-consolidation share for every eight pre-consolidation shares. The number of securities reported on this Form 4 have been adjusted to reflect the Share Consolidation.
