1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $18.59 to $18.62, inclusive. The reporting person undertakes to provide to Gatos Silver, Inc. (the "Issuer"), any shareholder of the Issuer, or the staff of the Securities Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (1) to this Form 4.

2. The options were granted on August 31, 2017 and November 20, 2017 and are fully vested.

3. These options were granted on December 6, 2017. Three quarters of these options have vested and the remaining quarter vests on December 5, 2021.
