1. The reporting person purchased the shares pursuant to that certain Securities Purchase Agreement, dated April 12, 2021, by and among the issuer, the reporting person and the other investors thereto.

2. Excludes 1,196,541 shares that were previously reported as indirectly beneficially owned by the reporting person through family trusts settled by the reporting person's father of which the reporting person is trustee and such shares are no longer beneficially owned by the reporting person.
