Explanation of Responses:

1. Thirty-three percent (33%) of the Stock Options shall vest and become exercisable on the first anniversary of the Vesting Commencement Date (December 1, 2020), provided that the Optionee continues to have a Service Relationship with the Company at such time. Thereafter, the remaining sixty-seven percent (67%) of the Stock Options shall vest and become exercisable in 24 equal monthly installments on the last day of each such month following the first anniversary of the Vesting Commencement Date, provided the Optionee continues to have a Service Relationship with the Company on each vesting date.
