In connection with the sale of Dalton Adventures LLC's assets that constitute the business of SevenFive Farm to the Issuer on May 25, 2020, Dalton Adventures, LLC has the right to require the Issuer to repurchase 2,214,779 shares issued to John Barker Dalton, the owner of Dalton Adventures, LLC, at a repurchase price of $0.43 per share.
