Item 1.01. Entry into a Material Definitive Agreement.
On April 19, 2022, loanDepot.com, LLC, a Delaware limited liability company and an indirect subsidiary of loanDepot, Inc. (the “Company”), as seller, entered into Amendment No. 1 (“Amendment 1”) to the Amended and Restated Master Repurchase Agreement, dated as of August 11, 2021 (as amended, restated, supplemented or otherwise modified from time to time, the “MRA”) with UBS AG, by and through its branch office at 1285 Avenue of Americas, as buyer (“UBS”) pursuant to which the Company may sell to, and later repurchase from, UBS certain residential mortgage loans. The primary purposes of Amendment 1 are to (a) amend certain definitions regarding Sanctioned Person and (b) through ancillary agreements, extend the Termination Date until April 18, 2023, and amend the eligible types of mortgage loan products and certain pricing provisions.
