Item 8.01 Other Events.
On May 22, 2024, Global Partner Acquisition Corp II (the “Company” or “GPAC II”) filed a definitive proxy statement/prospectus (the “Definitive Proxy Statement”) for the solicitation of proxies in connection with a special meeting (the “Special Meeting”) of the Company’s stockholders to be held on June 18, 2024, to vote upon, among other things, a proposal to adopt and approve the business combination agreement (as amended from time to time, the “Business Combination Agreement”) by and among GPAC II, Strike Merger Sub I, Inc., a Delaware corporation and direct wholly-owned subsidiary of GPAC II, Strike Merger Sub II, LLC, a Delaware limited liability company and direct wholly-owned subsidiary of GPAC II, and Stardust Power Inc., a Delaware corporation (“Stardust Power”), and the business combination contemplated thereby (the “Business Combination”), as well as to hold such meeting in lieu of an annual meeting.
As previously disclosed, on June 13, 2024, the Company determined to postpone the Special Meeting until June 25, 2024 at 9:00 a.m. Eastern Time.
On June 17, 2024, the Company determined to further postpone the Special Meeting until June 27, 2024 at 4:00 p.m. Eastern Time. In connection with the postponement of the Special Meeting until June 27, 2024, the deadline for the submission of public shares of Class A Ordinary Shares for redemption will be extended to 5:00 p.m., Eastern Time, on June 25, 2024. Shareholders who have already cast their votes or who have previously submitted shares for redemption do not need to take any action (unless they wish to change or revoke their prior proxy or voting instructions or change their decision as to redemption) and their votes will be counted at the postponed Special Meeting. The deadline for the submission of public shares of Class A Ordinary Shares to vote for the proposals prior to the Special Meeting will be extended from 5:00 p.m., Eastern Time, June 24, 2024 to 5:00 p.m., Eastern Time, on June 26, 2024.
GPAC II and Stardust Power will continue to work on closing the Business Combination as soon as possible following its approval by the stockholders of GPAC II and the satisfaction or waiver of any applicable closing conditions.

There is no change to the location, the record date, the purpose or any of the proposals to be acted upon at the Special Meeting.
