Simultaneously with the Issuer's initial public offering, Foresight Sponsor Group, LLC (the "Sponsor") acquired, at a price of $10.00 per unit, 682,500 units (the "Private Units") in a private placement for an aggregate purchase price of $6,825,000. Each Private Unit consists of one share of common stock and one-third of one warrant. |
| 2. The shares are held directly by the Sponsor. The Sponsor is governed by a board of managers consisting of Greg Wasson and Michael Balkin. Each of Mr. Wasson and Mr. Balkin disclaims beneficial ownership of the securities held by the Sponsor except to the extent of his pecuniary interest therein. |
