1. These securities are restricted stock units (RSUs). Each RSU represents a contingent right to receive one share of Class A Common Stock. One-fourth of the RSUs will vest on each of September 8, 2023, December 8, 2023, March 8, 2024 and June 8, 2024, provided that the Reporting Person remains a member of the Issuer's Board of Directors through each vesting date.

2. Certain of these securities are RSUs. Each RSU represents a contingent right to receive one share of Class A Common Stock, subject to the applicable vesting schedule and conditions of each RSU.
