Explanation of Responses:

1. Represents a grant of restricted stock to the Reporting Person on March 14, 2019. The restricted stock will vest and settle in four annual installments following the date of grant, subject to continued employment. Of these shares, 1813 vested on March 14, 2020 and the remaining 7,735 shares remain subject to the aforementioned vesting schedule, subject to continued employment.
