MINUTES TO THE MEETING OF THE BOARD OF DIRECTORS HELD ON SEPTEMBER 30, 2021
1. Date, Time and Place: On the 30th day of September 2021, at 02:00 pm, at the headquarters of Sendas Distribuidora SA (“Company”), located in the City of Rio de Janeiro, State of Rio de Janeiro, at Avenida Ayrton Senna, nº 6.000, Lote 2, Pal 48959, Annex A, Jacarepaguá, CEP 22775-005.
2. Call and Attendance: Call was done in accordance with the regalement and the meeting had the presence of all the members of the Company's Board of Directors.
3. Conduction of the Meeting: Chairman: Jean-Charles Henri Naouri; Secretary: Aline Pacheco Pelucio.
4. Agenda: Analysis and decision regarding the payment of interest on equity, in accordance with article 36, paragraphs 3 and 4 of the By-Laws of the Company.
5. Resolutions: In accordance with article 36, paragraphs 3 and 4 of the By-Laws of the Company, Messrs. Members of the Board of Directors decided, by unanimous decision, to approve, ad referendum of the Company’s Annual General Shareholders’ Meeting to be held in 2022, destined to appreciate the financial statements referred to the fiscal year ending on December 31st, 2021, the payment of interest on equity referred to the period between January 1st 2021 and December 31st 2021, in the gross amount of R$63.330.477,00 (sixty-three millions, three hundred thirty thousands, four hundred seventy-seven reais) corresponding to R$ 0.0470334275221436 per common share (“JCP”), from which the amount corresponding to the Withholding Income Tax (IRRF) will be deducted, in accordance to the Law, except with respect to shareholders who are immune and/or exempt. The members of the Board of Directors resolved also to approve that the payment of JCP over the shares issued by the Company traded on B3 S.A - Brasil, Bolsa, Balcão, as well as over the other shares registered with Itaú Corretora de Valores S.A. be done on October 14th 2021, based on the shareholders´ position of October 5th 2021. JPMorgan Chase Bank, as custodian of the American Depositary Receipts representing common shares issued by the Company ("ADR"), will be responsible for indicating the dates and operational procedures for payment of the JCP to the holders of ADR. The JCP will be charged to the amount of the minimum mandatory dividend related to the fiscal year ended on December 31th, 2021.
6. Approval and signature of these minutes: As there were no further matters to be addressed, the meeting was adjourned so that these minutes were drawn up. Then the meeting was resumed and these minutes were read and agreed to, having been undersigned by all attending persons. Rio de Janeiro, September 30th, 2021.
