Explanation of Responses:

1. Represents restricted stock units granted to the Reporting Person under Hayward Holdings, Inc. 2021 Equity Plan (the "2021 Plan"). Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock, par value $0.001 per share. The restricted stock units vest in three equal installments, on each of February 28, 2026, February 28, 2027, and February 28, 2028 provided generally that the Reporting Person remains in continuous service with Issuer through the vesting date.

2. Represents shares of Common Stock that the reporting person forfeited to the Company to satisfy tax withholding obligations incurred upon the vesting of restricted stock units. No shares were sold by the reporting person.
