Remarks:

The reporting person is a member of and holds a non-controlling interest in Ignyte Sponsor LLC (the "Sponsor"), which beneficially owns 1,437,500 shares of common stock of the Issuer. The Sponsor has also agreed to purchase up to 2,500,000 warrants of the Issuer in connection with the Issuer's initial public offering. The reporting person disclaims any beneficial ownership of the securities held by the Sponsor other than to the extent of his pecuniary interest therein.
