Sales of a substantial number of shares of our common stock in the public market could cause our stock price to fall.

Based upon the number of shares of common stock, on an as-converted basis, outstanding as of December 31, 2020, upon the completion of this offering, we will have outstanding a total of 34,587,971 shares of common stock (including 4,466,843 shares of non-voting common stock), and assuming no exercise of the underwriters’ option to purchase additional shares. Of these shares, as of the date of this prospectus, approximately 7,812,500 shares of our common stock, plus any shares sold upon exercise of the underwriters’ option to purchase additional shares, will be freely tradable, without restriction, in the public market immediately following this offering, assuming that current stockholders do not purchase shares in this offering. Upon completion of this offering and based on 4,899,652 options outstanding under our 2016 Stock Incentive Plan as of March 19, 2021, 8,365,779 shares of common stock that are either subject to outstanding options or reserved for future issuance under our equity incentive plans will become eligible for sale in the public market to the extent permitted by the provisions of various vesting schedules, the lock-up agreements and Rule 144 and Rule 701 under the Securities Act. After this offering, the holders of approximately 23,678,568 shares of our common stock will be entitled to rights with respect to the registration of their shares under the Securities Act, subject to the lock-up agreements described above.
