Each restricted stock unit represents a contingent right to receive one share of Minim common stock The Restricted Stock Unit were issued pursuant to the Company's Omnibus Incentive Compensation Plan and has a vesting schedule as follows: One-fourth (1/4) of the Units will be deemed to become "Vested Units" on the first anniversary of date of the transaction date and one-sixteenth (1/16) of the Units will become Vested Units on each quarterly anniversary of the transaction date thereafter.
