Additional Information and Where to Find It
As previously announced, on July 28, 2021, Queen’s Gambit, a Cayman Islands exempted company with limited liability, Swvl, a British Virgin Islands business company limited by shares incorporated under the laws of the British Virgin Islands, Pivotal Holdings Corp, a British Virgin Islands business company limited by shares incorporated under the laws of the British Virgin Islands and wholly owned subsidiary of Swvl (“Holdings”), Pivotal Merger Sub Company I, a Cayman Islands exempted company with limited liability and wholly owned subsidiary of Holdings, and Pivotal Merger Sub Company II Limited, a British Virgin Islands business company limited by shares incorporated under the laws of the British Virgin Islands and wholly owned subsidiary of Queen’s Gambit, entered into a business combination agreement (the “Business Combination Agreement”). This communication relates to the closing of the transactions contemplated by the Business Combination Agreement (the “Proposed Transactions”). Subject to the satisfaction or waiver of the conditions to the Proposed Transactions, the Proposed Transactions will effect a business combination between Queen’s Gambit and Swvl.
