Explanation of Responses:

1. As originally filed, the Form 4 showed Ms. Rankin used 711 shares of Common Stock to fulfill the income tax obligations associated with the vesting of her Restricted Stock Units. This was not correct, as she paid the income tax obligations in cash.

2. Each restricted stock unit represents a contingent right to receive one share of MPAA common stock.

3. Vesting 1/3 each year for 3 years from grant date. beginning on 30-Dec-2020.
