Explanation of Responses:

1. The sale was made pursuant to a 10b5-1 plan adopted by the reporting person on January 24, 2023.

2. Includes restricted stock units ("RSUs") that represent a contingent right to receive one share of issuer's Class A Common Stock each and have no expiration date.

3. Does not represent a sale of shares by the Reporting Person. This transaction represents shares of common stock withheld by the Issuer in payment of the withholding tax liability incurred upon the vesting of RSUs.

4. Includes: (i) 812,484 RSUs that vest in equal quarterly installments on the 15th of March, June, September and December; and (ii) 39,887 RSUs which vest in equal monthly installments on the 6th of every month. The RSUs represent a contingent right to receive one share of issuer's Class A Common Stock each and have no expiration date.
