Item 5.07. Submission of Matters to a Vote of Security Holders
On May 18, 2010, CDI Corp. ("CDI") held its 2010 Annual Meeting of Shareholders (the "2010 Annual Meeting"). The 2010 Annual Meeting was called for the following purposes: (1) to elect seven directors of CDI, to serve until the 2011 Annual Meeting of Shareholders, and (2) to ratify the appointment of KPMG LLP as CDI's independent registered public accounting firm for 2010. Below are the names of the directors elected at the 2010 Annual Meeting and the final number of votes cast for and withheld from each director. There were 1,102,032 broker non-votes in connection with the election of directors.
