I am very excited to share with you some news about an important milestone for Aspiration. Today, we announced plans for Aspiration to become a publicly traded company.
This is a historic moment, and it’s about something bigger than just us. Aspiration will be the first ESG-focused financial institution to be a public company.
We’re pioneering the category of sustainability solutions for people and businesses.
And at the time of our closing, we will also transition to becoming not a regular corporation, but a Public Benefit Corporation -- a special class of companies built to serve a larger mission and purpose -- and will be the first such financial institution to be publicly traded, as well.
We are showing the world that you can build a business in service of People and the Planet; that you can make money not just by cutting down trees and pillaging the planet, but by planting trees and helping to save it.
What does ‘going public’ mean?
We will be taking this step through what is called a SPAC merger with InterPrivate III Financial Partners Inc. A SPAC (Special Purpose Acquisition Company) is an investment entity created specifically as a vehicle to bring a private company like ours into the public markets. If all stays on this course, at the end of this process, Aspiration will be an independent company traded on the New York Stock Exchange.
We expect the transaction to close near the end of the year or early next year, but it’s important to note there is no guarantee that the transaction will close. The full press release announcing the transaction can be found on our Aspiration website at aspiration.com/investors.
Going public is the next major step in the evolution of Aspiration. As a public company, we will continue executing on our business plans while further accelerating our growth.
What does ‘going public’ mean for you?
We don’t expect this to impact your day to day work or priorities much at all. But the stakes of what we’re doing and the attention we will be receiving will be even higher, so we all need to continue to turn up the dial on our work and results.
Now, and once we are public, I encourage you not to spend time thinking or worrying about our daily stock performance. Stocks go up and down over time. We are going to continue to focus on serving our customers and fulfilling our mission. If we do that successfully, we will generate profoundly positive impact and build a very valuable business.
What’s next?
Now that this news has been announced, we anticipate a heightened level of interest from people seeking information that could be used to form an opinion about our current or future performance.Federal securities laws forbid you from trading based on or sharing non-public information that would advantage one potential investor over another -- that includes information about our financial performance, company metrics, or upcoming plans and products.
