Explanation of Responses:

1. Represents additional shares granted pursuant to previously reported restricted stock awards in respect of the satisfaction of performance conditions above the target performance level previously reported. Following satisfaction of the performance conditions, such restricted stock awards remain subject to the time-based vesting conditions set forth in the applicable award agreement and the Company's 2016 Long Term Incentive Plan, as amended and restated March 4, 2021. No consideration was paid for the issuance of the additional shares pursuant to the restricted stock award agreements.

2. Includes shares received as a stock dividend paid on October 8, 2021, to all holders of record of common stock of the Company on September 24, 2021. The stock dividend is exempt from Section 16 of the Securities Exchange Act of 1934, as amended, pursuant to Rule 16a-9 thereunder.
