2. Represents the number of shares deemed withheld to satisfy tax withholding obligations upon receipt of stock under the 2018 Omnibus Incentive Plan, as amended.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's Class A Common Stock.

4. The RSUs will vest in four equal installments on each of March 15, 2022, 2023, 2024, and 2025, and are subject to certain vesting, forfeiture, and termination provisions.
