Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $28.05 to $28.11 per share. The reporting person undertakes to provide to R1 RCM Inc., any security holder of R1 RCM Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

2. The 90,000 shares sold on 2/23/2021 and 2/24/2021 includes 26,032 shares sold at the request of the reporting person's former spouse. The net proceeds of the sale of the shares will be transferred to the reporting person's former spouse pursuant to an agreement between the reporting person and his former spouse.

3. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $27.33 to $28.25 per share. The reporting person undertakes to provide to R1 RCM Inc., any security holder of R1 RCM Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

4. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $28.21 to $28.98 per share. The reporting person undertakes to provide to R1 RCM Inc., any security holder of R1 RCM Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

5. These shares of common stock are held in a grantor retained annuity trust for the benefit of the reporting person and his two children. The reporting person's former spouse is the trustee of the trust.

6. These shares of common stock are held in a grantor retained annuity trust for the benefit of the reporting person and his nieces and nephews. The reporting person shares investment control over issuer securities held by the trust with his former spouse, who is the trustee of the trust.
