The description of the units, each consisting of one share of Class A common stock, $0.0001 par value, and one-half of one redeemable warrant, the shares of Class A common stock and the redeemable warrants, each whole warrant exercisable for one share of Class A common stock at an exercise price of $11.50 (subject to adjustment), of Gladstone Acquisition Corporation, a Delaware corporation, as set forth under the caption “Description of Securities” in the prospectus forming a part of the Registration Statement on Form S-1, as originally filed with the Securities and Exchange Commission (the “Commission”) on February 9, 2021 (Registration No. 333-252916), including exhibits, and as subsequently amended from time to time (the “Registration Statement”), is hereby incorporated by reference.
