Explanation of Responses:

1. The Board passed a resolution on July 13, 2021 allowing for a waiver of the executive's lock-up agreement for the sole purpose of allowing for shares of stock to be withheld to cover tax obligations upon the conversion of the Class B-1 Stock into Class A. Following such waiver, the Company issued updated instructions allowing for the withholding of shares to cover taxes resulting in a net issuance of common stock.
