1. The Class B ordinary shares, par value $0.0001 per share of the Issuer (f/k/a Perception Capital Corp. II), converted automatically, on a one-for-one basis, into shares of common stock, par value $0.0001 per share, of Spectaire Holdings Inc. as a result of the Issuer's domestication as a corporation incorporated in the State of Delaware in connection with the Issuer's proposed initial business combination pursuant to the Agreement and Plan of Merger, dated as of January 16, 2023, by and between the Issuer, Spectaire Inc. and Perception Spectaire Merger Sub Corp.
