1. Represents shares that have been withheld by the Issuer to satisfy tax withholding and remittance obligations in connection with the net settlement of restricted stock units ("RSUs").

2. A Form 4 filed by the Reporting Person on March 28, 2023 incorrectly reported the number of shares disposed of and the number of shares held following the reported transaction.
