I's (the "Issuer") registration statement on Form S-1 (File No. 333-258476), as amended (the "Registration Statement") and the Reporting Person's Initial Statement of Beneficial Ownership of Securities on Form 3, there were 375,000 shares of common stock, par value $0.0001 per share (the "Common Stock"), subject to forfeiture to the extent that the underwriters did not fully or partially exercise their over-allotment option in the Issuer's initial public offering of its securities.
