“Pledged Stock” means, with respect to any Grantor, the shares of Capital Stock described in Schedule 3 to the Cumulative Perfection Certificate as held by such Grantor, together with any other shares of Capital Stock hereafter held or acquired by such Grantor.
“PPSA” means the Personal Property Security Act (British Columbia) or similar legislation of any other Canadian province or territory the laws of which are required by such legislation to be applied in connection with the issue, attachment, perfection (or opposability), enforcement, validity, effect of perfection or of non-perfection or priority or effect of Liens.
“Proceeds” has the meaning assigned in the PPSA and, in any event, shall also include but not be limited to (i) any and all proceeds of any insurance, indemnity, warranty or guaranty payable to the Agent or any Grantor from time to time with respect to any of the Collateral, (ii) any and all payments (in any form whatsoever) made or due and payable to any Grantor from time to time in connection with any requisition, confiscation, condemnation, seizure or forfeiture of all or any part of the Collateral by any Governmental Authority (or any Person acting under colour of Governmental Authority), (iii) any and all Stock Rights and (iv) any and all other amounts from time to time paid or payable under or in connection with any of the Collateral.
“Receivables” means any Account, Chattel Paper, Document of Title, Investment Property, Instrument and/or any Intangible, in each case, that is a right or claim to receive money or that is otherwise included as Collateral.
“Section” means a numbered section of this Security Agreement, unless another document is specifically referenced.
“Security Agreement” has the meaning set forth in the preamble.
“Software” means computer programs, source code, object code and supporting documentation, as well as computer programs that may be construed as included in the definition of Goods.
“STA” means the Securities Transfer Act (British Columbia) or, to the extent applicable, similar legislation of any other jurisdiction, as amended from time to time.
“Stock Rights” means all dividends, cash, options, warrants, instruments or other distributions and any other right or property which any Grantor shall receive or shall become entitled to receive for any reason whatsoever with respect to, in substitution for or in exchange for any Capital Stock constituting Collateral, any right to receive any Capital Stock constituting Collateral and any right to receive earnings, in which such Grantor now has or hereafter acquires any right, issued by an issuer of such Capital Stock.
“Supporting Obligations” means all Letter of Credit Rights or secondary obligations that support the payment or performance of an Account, Chattel Paper, Document of Title, Intangible, Instrument, or Investment Property.
“Trade Secrets” means, with respect to any Grantor, all of such Grantor’s right, title and interest in and to the following: (a) confidential and proprietary information, including unpatented inventions, invention disclosures, engineering or other data, information, production procedures, know-how, financial data, customer lists, supplier lists, business and marketing plans, processes, schematics, algorithms, techniques, analyses, proposals, source code, and data collections; (b) all income, royalties, damages, and
