1. Represents the vesting of an RSU grant which occurs in three substantially equal annual installments beginning on December 7, 2023.

2. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock.

3. The total includes 10,374 shares acquired on May 31, 2024, through the Issuer's Employee Stock Purchase Plan (ESPP).

4. Represents a mandatory sale of shares to satisfy tax withholding obligations, upon the vesting and settlement of restricted stock units.

5. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $4.04 to $4.16. The reporting person undertakes to provide the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
