We reserve the right to move to adjourn the Special Meeting in the event that the Board determines before the Special Meeting that is not necessary or no longer desirable to proceed with the Amendment Proposals. Approval of each of the Amendment Proposals requires the affirmative vote of the holders of at least 65% of the then-outstanding shares of Class A Common Stock and Class B common stock, par value $0.0001 per share, of the Company (the “Class B Common Stock” and, together with the Class A Common Stock, the “Common Stock”) entitled to vote thereon, voting together as a single class. As of the Record Date, our sponsor, Big Sky Growth Partners, LLC, a Delaware limited liability company (the “Sponsor”) and its permitted transferees collectively own shares of Class B Common Stock of the Company that entitle such holders, in the aggregate, to 20% of the aggregate voting power of the then-issued and outstanding shares of the Common Stock entitled to vote thereon, voting together as a single class, and are expected to vote all of their shares in favor of each proposal to be voted upon by our stockholders at the Special Meeting.
Approval of the Adjournment Proposal requires the affirmative vote of the holders of a majority of the then-outstanding shares of Common Stock present at the Special Meeting and entitled to vote thereon, voting together as a single class.

A stockholder’s failure to vote by proxy or to vote by virtual attendance will not be counted towards the number of shares of Common Stock required to validly establish a quorum. Abstentions will be counted in connection with the determination of whether a valid quorum is established. Abstentions will have the effect of a vote “AGAINST” each of the Charter Amendment Proposal, the Trust Amendment Proposal and Adjournment Proposal. We believe that each of the proposals is a “non-discretionary” matter, and therefore, there will not be any broker non-votes at the Special Meeting.
