As described in the Issuer's registration statement on Form S-1 (File No. 333-253732) (the "Form S-1") under the heading "Principal Shareholders", the Class B ordinary shares will automatically convert into Class A ordinary shares at the time of the Issuer's initial business combination (or earlier at the option of the holder) at a ratio described in the Form S-1 under the heading "Description of Securities--Founder Shares", which ratio will in no event be less than one-to-one. The shares do not have any expiration date. |

Includes up to 750,000 Class B ordinary shares that will be surrendered to the Issuer for no consideration by Target Global Sponsor Ltd., a Cayman Islands exempt company ("Sponsor") depending on the extent to which the underwriters of the Issuer's initial public offering exercise their over-allotment option. |
