EXPLANATORY NOTE
The 2023 annual general meeting of shareholders (the “2023 Annual General Meeting”) of WalkMe Ltd. (the “Company”) will be held on May 15, 2023. The Company will distribute a proxy statement (which will include the full version of the proposed resolutions) and a proxy card to all shareholders of record as of April 6, 2023. The Notice and Proxy Statement related to the 2023 Annual General Meeting and the form of proxy to be solicited by the Company are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively.
