Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 23, 2022, RF Acquisition Corp. (the “Company”) received a notice from the Listing Qualifications Department of The Nasdaq Global Market (the “Nasdaq”) indicating that the Company was not in compliance with Nasdaq Listing Rule 5250(c)(1) because the Company failed to timely file its Quarterly Report on Form 10-Q for the period ended June 30, 2022, with the SEC.
Under Nasdaq rules, the Company has 60 calendar days, or until October 24, 2022, to submit a plan to regain compliance with the Nasdaq Listing Rule 5250(c)(1). If Nasdaq accepts the Company’s plan, then Nasdaq may grant an exception of up to 180 calendar days from the due date of the Form 10-Q, or until February 20, 2023, to regain compliance.
