Item 1.01. Entry Into a Material Definitive Agreement.
On May 20, 2024, Dragonfly Energy Holdings Corp. (the “Company”) entered into an amended and restated ChEF purchase agreement (the “A&R Purchase Agreement”) with Chardan Capital Markets LLC in connection with its outstanding $150,000,000 equity facility to sell shares of the Company’s common stock, par value $0.0001 per share, to update the volume weighted average price purchase mechanics of the equity facility to permit Intraday VWAP Purchases (as defined in the A&R Purchase Agreement).
The foregoing description of the A&R Purchase Agreement is a summary only and is qualified in its entirety by the full text of the A&R Purchase Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
