Explanation of Responses:

1. This Form 4/A amends the Form 4 filed on March 4, 2025, solely to correct the transaction code inadvertently reported as code "S" in Table I, Column 3 of the original Form 4. Other than the foregoing, no changes have been made to the original Form 4.

2. Represents the number of shares withheld for the payment of tax liabilities in connection with the vesting of service-based restricted stock units ("RSUs"). The withholding of these shares occurred automatically upon the vesting of the RSUs, and as such, no investment decision was made by the Reporting Person in connection with this transaction.
