EXPLANATORY NOTE

We are filing this Amendment No. 2 to our Current Report on Form 8-K (the “Amendment”) as originally filed with the Securities and Exchange Commission (the “SEC”) on April 1, 2024 (the “Original 8-K”) to include audited financial statements as of and for the years ended December 31, 2023 and 2022 of Trump Media & Technology Group Corp. audited by Semple, Marchal & Cooper, LLP in Exhibit 99.2. Except as described above, no other information in the Original 8-K has been updated and this Amendment continues to speak as of the date of the Original 8-K.
